ReSight Terms of Service

Welcome to ReSight! By accessing or using our services, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully. If you do not agree to these Terms, you may not use our services.

1. Definitions​

  • "Service" refers to ReSight’s software-as-a-service offering, which includes the tools for automating report generation from JSON data or other file formats to PDFs, API access, and any related documentation, support, or features.
  • "User" or "Customer" refers to the individual or entity using the Service.
  • "We," "Us," or "ReSight" refers to the company operating the Service.

2. Eligibility​

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Use of the Service​

  • License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
  • Restrictions: You agree not to:
    • Reverse engineer, copy, or modify the Service.
    • Use the Service for unlawful purposes or in violation of any applicable laws.
    • Share or resell access to the Service without prior written consent.

4. Customer Data​

  • Ownership: You retain all rights to the data you provide to ReSight, including JSON input and generated reports.
  • Usage: You grant ReSight a limited license to process your data for the purpose of providing the Service.
  • Security: We implement industry-standard measures to protect your data. However, you acknowledge that no system is completely secure, and you use the Service at your own risk.

5. Fees and Payment​

  • Subscription Fees: Use of the Service may require payment of a subscription fee, as outlined in your pricing plan.
  • Payment Terms: Payments are due in advance and are non-refundable unless otherwise stated in a written agreement.
  • Late Payments: We reserve the right to suspend access to the Service for overdue accounts.

6. Intellectual Property​

  • All intellectual property rights in the Service, including but not limited to software, design, and documentation, are owned by ReSight or its licensors.
  • You may not use ReSight’s trademarks, logos, or branding without prior written consent.

7. Service Availability​

  • We aim to provide 99.9% uptime but do not guarantee uninterrupted access to the Service.
  • We reserve the right to modify, update, or discontinue the Service at any time with prior notice where feasible.

8. Termination​

  • By You: You may terminate your account at any time by contacting support.
  • By Us: We may suspend or terminate your account if you violate these Terms or for other reasons at our discretion.
  • Upon termination, your access to the Service will cease, but you retain ownership of your data. You should download any data or reports prior to termination.

9. Disclaimer of Warranties​

The Service is provided "as-is" without warranties of any kind, express or implied. ReSight disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability​

To the maximum extent permitted by law, ReSight will not be liable for any indirect, incidental, or consequential damages arising from your use of the Service. Our total liability under these Terms shall not exceed the fees you paid in the 12 months preceding the claim.

11. Indemnification​

You agree to indemnify and hold harmless ReSight from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Service or violation of these Terms.

12. Changes to the Terms​

We may update these Terms from time to time. We will notify you of significant changes by email or through the Service. Your continued use of the Service constitutes acceptance of the revised Terms.

13. Governing Law​

These Terms are governed by the laws of the state of Delaware, without regard to its conflict of law principles.
